From one subsidiary to the next, from a shareholder to an agreement
Graphield places on a single org chart your companies and how they connect, the share capital and who holds it, the directors and officers, contracts, employees, leases and litigation. Every piece of information links to the document it comes from, and the timeline shows the whole picture as it stood on any date.
The situation
In a group, information never sits in one place because it never sits in the same hands: HR holds the employment contracts and payroll, your lawyer keeps the deeds, your accountant the financial statements, the founder their shareholders' agreements. Graphield brings the group and its advisers together around a single org chart, where everyone attaches their documents to the entity or person they concern.
And so that everyone can contribute, Graphield doesn't charge per seat: access is unlimited for the whole group. Information finally gathers itself.
Every field of law
Corporate, real estate, contracts, employment, litigation, intellectual property, finance and shareholders' agreement: each field has its own tab, and each tab shows the same org chart from a different angle. You move from one to the other without changing tools or losing sight of the structure.

Share ownership
In an org chart drawn by hand, percentages are typed in one by one, and nobody remembers where they came from. In Graphield, every share movement is recorded at its date (subscription, transfer, contribution, gift, allocation), and percentages are calculated from the number of shares held. If the total does not match the number of shares issued, the application shows it; it never corrects anything on its own.

What binds you
A lock-up clause, a pre-emption right, a corporate office coming to an end, a commercial lease and its three-year break periods: Graphield places each commitment on the org chart, next to the companies and people it concerns, with its dates. Shareholders' agreement clauses appear on the shareholders they bind, and the agreement opens at the page of the clause. The application shows what is written, and where.

Your company's memory
Who held shares in 2018? Which agreement was in force at the last round? Graphield keeps your structure's history. One point on the timeline rebuilds the share capital, the corporate offices and the documents as they stood on that date, each state linking to the deeds it rests on.

Modelling & simulation
Simulation mode opens a layer kept separate from the file. There you enter a funding round, a sale, a contribution or a merger in number of shares, and the org chart shows the share capital after the transaction, shareholder by shareholder. Nothing touches the register until you decide to record the transaction. The tool calculates; the choice of structure remains a matter for your advisers.

Getting started
It all starts with the setup. Legal professionals gather your documents, rebuild the history of the share capital, file each document and link each piece of information to its source. The work is descriptive: no advice, no legal opinion, a file put back in order that can be checked line by line. You provide what you have and the names of those who hold the rest; we follow up with them if you wish.
The price of the setup depends on the volume of documents, not on the number of companies. It is set in the quote, before any commitment.
Graphield gives no advice, drafts no deeds and replaces no one. It keeps the file, which none of your advisers is tasked with keeping in full. Your lawyer, your accountant and your finance team have access at no extra cost, each to the scope you open to them, and find the documents up to date without having to ask for them.

Graphield was founded by a corporate lawyer who saw, deal after deal, the time lost finding, dating and reconciling documents scattered across many hands. Graphield grew out of that observation.
